3. Responsible Governance

We manage real estate investment funds for various types of investors, such as retail investors, HNWI’s and (multi)family offices and institutional clients. Annexum ensures that the entrusted capital is managed in accordance with the interests of the investors and in line with the highest standards of professionality, integrity and compliance. To uphold these principles, we have incorporated the following guidelines into our governance structure.

  • FUND GOVERNANCE
    Major decisions are subject to approval of a meeting of investors.
    Material investment transactions are subject to approval of either (i) a meeting of investors, or (ii) a supervisory body.
    On specific issues the consensus of investors is analysed via an online questionnaires.
    Foundations holding legal title of shares in investment funds, where investors hold depositary receipts, pass on voting rights on shares to investors.
  • RISK MANAGEMENT
    A Risk Manager at board level, supported by a Risk Management Committee safeguards that risks are adequately identified and mitigated. 
  • WHISTLEBLOWING
    At Annexum, we prioritize ethics, transparency, and integrity. Our whistleblowing system facilitates reporting of potential violations, both internally and externally, covering corporate policies, legal breaches, and workplace ethics. Reports are easily submitted through a dedicated channel, and investigations ensure fair treatment. If violations are confirmed, we take action while protecting whistleblowers. Our policy is regularly reviewed for effectiveness and protection.
  • COMPLIANCE MONITORING PROGRAM
    Compliance with relevant laws and regulations is ensured by the compliance officer via a compliance monitoring program.
  • OVERSIGHT
    Various oversight bodies are implemented in investment funds to ensure adequate oversight on the fund manager: supervisory body (Supervisory Board, Investment Committee, etcetera, external depositary, external board of legal title holder of assets, Dutch Financial Markets Authority (AFM).
  • PRE-EMPLOYMENT SCREENING
    Our Board Members are screened on suitability and integrity by AFM; all other employees are subject to pre-employment screening by DSI.
  • CUSTOMER DUE DILIGENCE
    To avoid money laundering via its funds under management the investors, tenants and other business relations are screened on: politically exposed person, Sanction list, Adverse media, country of residence, Sector, origin of funds, corporate structure, ultimate beneficial owner. This ’Know Your Customer’ framework consists of 8 digital steps and is managed in a secure data cloud.
  • CODE OF CONDUCT
    We are committed to the standards in professionalism and integrity in our published Code of Conduct.
